These Terms of Service ("Terms") govern your access to and use of the PrimeLogix platform, website (myprimelogix.com), and the LogixIQ Driver App (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
If you do not agree, do not use the website or Services.
1. About Prime Logix LLC
Prime Logix LLC is a logistics operations software company providing an all-in-one platform for FedEx Linehaul and P&D contractors.

2. Authorized Use (B2B Platform)
PrimeLogix is a proprietary business tool intended only for authorized users — business owners, operators, dispatchers, payroll staff, and drivers approved by a registered PrimeLogix tenant organization. Access to the LogixIQ Driver App requires a company/tenant code and valid credentials issued by your organization.
You must be at least 18 years old and represent a legally registered business entity to create a PrimeLogix account.
3. Account Responsibilities
You agree to:
- Provide accurate and complete information when registering
- Maintain the confidentiality of your login credentials
- Notify us immediately at tech@myprimelogix.com if you suspect unauthorized access
You are responsible for all activity that occurs under your account. Each business account (tenant) is responsible for managing user roles and access permissions within their organization.
4. Driver Safety & Responsible Use
Do not use the LogixIQ Driver App while operating a vehicle. You must comply with all local, state, and federal laws regarding distracted driving and hands-free operation.
The App includes safety controls that restrict certain actions (including messaging) while the vehicle is in motion. These controls are not a guarantee of safety. You remain responsible for safe vehicle operation and legal compliance at all times.
5. Acceptable Use
You agree not to:
- Use the Services for unlawful, harmful, or fraudulent purposes
- Attempt to access data or accounts you are not authorized to access
- Reverse engineer, decompile, copy, or attempt to extract source code
- Interfere with or disrupt the platform's infrastructure or security features
- Upload malicious code, spam, or harmful content
- Share account credentials with unauthorized parties outside your organization
- Use the Services outside the scope of your authorized role
We may restrict, suspend, or terminate access for violations without prior notice.
6. Communications Feature
If you use the platform's Communications module:
- Communications are intended for operational purposes only
- Abusive, harassing, illegal, or inappropriate content is prohibited
- Communications may be visible to authorized administrators for operational, safety, compliance, and security purposes
- We may restrict access, remove content, or take other actions to enforce policies and protect users
7. Subscription & Pricing
PrimeLogix operates on a subscription basis. Pricing is discussed during the onboarding process and available upon request.
Free Trial: We may offer a free trial period. At the end of the trial, a subscription is required to continue access.
Early Adopter Program: Promotional free periods offered to early adopters are subject to terms communicated at signup.
Future Features: All features, modules, and integrations we develop and release are included in your active subscription at no additional cost.
8. SMS Communications & Messaging Terms
By providing your phone number and consenting to SMS on our website or forms, you expressly consent to receive text messages (SMS/MMS) from Prime Logix LLC.
- Program: Messages may include onboarding updates, account notifications, demo scheduling, and responses to your direct inquiries
- Opt-Out: Text STOP at any time to unsubscribe. You will receive one confirmation message then no further messages
- Help: Text HELP or email tech@myprimelogix.com
- Carrier Liability: Carriers are not liable for delayed or undelivered messages
- Costs: Message and data rates may apply. Message frequency varies. Contact your wireless provider for plan details
- Privacy: Mobile information and SMS opt-in consent will not be shared with third parties or affiliates for marketing purposes
9. Data Ownership
You retain ownership of all operational data you input into PrimeLogix — including driver records, settlement data, payroll information, and company documents. PrimeLogix does not claim ownership of your business data.
You grant PrimeLogix a limited license to process, store, and use your data solely to provide and improve the Services as described in our Privacy Policy.
10. FedEx Disclaimer
Prime Logix LLC is not affiliated with, endorsed by, or sponsored by FedEx Corporation or any of its subsidiaries. All references to FedEx, FedEx Ground, TSP, ISP, IVMR, MMR, and related terms are used for descriptive purposes only to explain platform functionality for contractors who operate under FedEx contracts.
11. Third-Party Integrations
PrimeLogix integrates with third-party services including ELD providers, fuel card systems, and payroll processors. We are not responsible for the availability, accuracy, or performance of third-party services. Your use of third-party integrations is subject to those providers' own terms and policies.
12. Intellectual Property
All platform code, design, branding, LogixIQ™, PrimeLogix™, and related intellectual property are owned by Prime Logix LLC and protected by applicable intellectual property laws.
You receive a limited, revocable, non-transferable license to use the Services solely for authorized business purposes. You may not copy, reproduce, distribute, or create derivative works from any part of the platform without prior written consent.
13. Availability and Changes
We may modify, update, suspend, or discontinue any part of the Services at any time. We may also update these Terms. Continued use after changes constitutes acceptance of the updated Terms.
14. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted operation or error-free performance.
15. Limitation of Liability
To the maximum extent permitted by law, Prime Logix LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or goodwill arising from your use of the Services.
Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations; in those cases, the limitation applies to the maximum extent permitted by law.
16. Termination
Either party may terminate the account with written notice. We may also suspend or terminate access immediately if:
- Employment or contract relationship ends
- These Terms or company/tenant policies are violated
- We believe access poses a security, compliance, or safety risk
Upon termination, your right to use the Services ends immediately. We will retain your data for 90 days following termination before permanent deletion, giving you time to export your records.
17. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-law principles.
